hereinafter referred to as the Licensor; a FDomes Wójcikowscy spółka komandytowa, Kołbaskowo 148, 72-001 Kołbaskowo, VAT Reg. No.: 8513148284, REGON (National Business Registry) no.: 321010895, entered in the Business Registry of the National Court Registry under the KRS Number: 0000952970, represented by Agnieszka Wojcikowska, hereinafter referred to as FDomes.

1. FDomes manufactures and sells glamping domes and promotes the idea of glamping through social media and traditional information channels.

2. The Licensor is interested in FDomes promoting content provided to it by the Licensor through all the information channels used by FDomes.

3. The content made available or transmitted by the Licensor to FDomes, e.g. images, videos, logos, trademarks, the company designation, may be protected by intellectual property rights.

4. The Licensor declares that no content made available or transmitted by it to FDomes shall infringe third-party intellectual property rights, or third-party business secrets, industrial property rights and personal rights, and that the Licensor shall be fully liable for any infringement of such rights resulting from FDomes' performance of this Agreement. In the event that the Licensor loses its rights in the content it makes available or transmits to FDomes, the Licensor shall notify FDomes immediately.

5. The Licensor shall retain intellectual property rights (copyright or trademark rights) in any content that it makes available or transmits to FDomes. The Licensor may make its content available to any person and at any time.

6. In the event that the Licensor makes available in any form or transmits any content to FDomes, in particular images, videos, graphic designations (logos), trademarks, and written texts, the Licensor shall grant FDomes a non-exclusive, transferable, gratuitous and global license, including the right to grant sublicenses, to use, exploit, distribute, modify, run, reproduce, publicly perform or display, and exercise derivative copyrights. The license shall authorize FDomes to store and reproduce the content and make it available to the Licensor, also to other entities, such as FDomes' social media providers.

7. The license granted to FDomes shall remain in force until the Licensor gives notice of termination. The notice period shall be 3 months effective at the end of the calendar month. After the expiry of the notice period, the granted licenses shall expire. The expiry of the license shall not oblige FDomes to remove any Licensor content made available or used by FDomes during the term of the license agreement from any information channels but shall only result in the inability to use such content in the future.

8. This agreement shall be governed by the laws of Poland.

9. Any disputes shall be examined by the common court of law having jurisdiction over the seat of FDomes.
